Through its network of Web properties, Uretao provides you with access to a variety of resources, including developer tools, download areas, communication forums and product information (collectively "Services"). The Services, including any updates, enhancements, new features, and/or the addition of any new Web properties, are subject to the TOU.

Acceptance of Terms

These terms are valid for the Uretao website with the URL www.uretao.com and all websites of Uretao, it subsidiaries or partners including all global Uretao websites that are connected to this website. The website is owned by Uretao and its licensees. The services that Uretao provides to you are subject to the following Terms of Use ("TOU"). Uretao reserves the right to update the TOU at any time without notice to you. Use of Terms

The terms of use regulate the relationship between you as a user and Uretao as the owner of the website and the on this website available services. Under circumstances there can be special terms of use for e.g. when you download software or use special services that have their own terms. These special terms have a higher priority than the terms of use.

BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

Changes of the terms of use

Uretao reserves the right to change the conditions of the terms of use at any time and with no announcement of a reason. The latest version of the terms of use can be opened by clicking on the hyperlink "Terms of Use" at the end of the website. The terms of use are then valid for all transactions that will be done after coming into force of the terms of use. If we change the terms of use we will inform you. Should the changed terms of use include a condition that affects the current contractual relationsship we will inform you beforehand and you will have the opportunity to terminate the contract 30 days before they come into force. This could be for e.g. conditions regarding the user account. We will inform you when the new terms of use come into force. If the user contradicts the terms of use, Uretao will be able to terminate the contract instantly. Completed transactions will not be affected by this.

Personal and Non-Commercial Use Limitation

Unless otherwise specified, the Services are for your personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Services.

Notice Specific to Software Available on this Website

Any software that is made available to download from the Services ("Software") is the copyrighted work of Uretao and/or its suppliers. Use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). An end user will be unable to install any Software that is accompanied by or includes a License Agreement, unless he or she first agrees to the License Agreement terms. Third party scripts or code, linked to or referenced from this website, are licensed to you by the third parties that own such code, not by Uretao. The Software is made available for download solely for use by end users according to the License Agreement. Any reproduction or redistribution of the Software not in accordance with the License Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. IN NO EVENT SHALL URETAO AND/OR ITS RESPECTIVE SUPPLIERS BE LIABLE FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF SOFTWARE, DOCUMENTS, PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR INFORMATION AVAILABLE FROM THE SERVICES.

Member Account, Password, and Security

If any of the Services requires you to open an account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. You also will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Uretao immediately of any unauthorized use of your account or any other breach of security. Uretao will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Uretao or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.

No Unlawful or Prohibited Use

As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any Uretao server, or the network(s) connected to any Uretao server, or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to any Uretao server or to any of the Services, through hacking, password mining or any other means. Uretao reserves the right at all times to disclose any information as Uretao deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Uretao's sole discretion. Always use caution when giving out any personally identifiable information about yourself or your children in any Communication Services. Uretao does not claim ownership of the materials you provide to Uretao (including feedback and suggestions) or post, upload, input or submit to any Services or its associated services for review by the general public, or by the members of any public or private community, (each a "Submission" and collectively "Submissions"). However, by posting, uploading, inputting, providing or submitting ("Posting") your Submission you are granting Uretao, its affiliated companies and necessary sublicensees permission to use your Submission in connection with the operation of their Internet businesses (including, without limitation, all Uretao Services), including, without limitation, the license rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; to publish your name in connection with your Submission; and the right to sublicense such rights to any supplier of the Services. No compensation will be paid with respect to the use of your Submission, as provided herein. Uretao is under no obligation to post or use any Submission you may provide and Uretao may remove any Submission at any time in its sole discretion. If, notwithstanding the other provisions of these Terms of Use, Uretao is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site or any Content, Uretao’s liability shall in no event exceed the greater of (1) the total of any subscription or similar fees with respect to any service or feature of or on the Site paid in the six months prior to the date of the initial claim made against Uretao (but not including the purchase price for any Uretao hardware or software products or any UretaoCare or similar support program), or (2) 100.00 Euro. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Indemnity

You agree to indemnify and hold Uretao, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Uretao by any third party due to or arising out of or in connection with your use of the Site.

Violation of These Terms of Use

Uretao may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) Uretao’s rights or property, or the rights or property of visitors to or users of the Site, including Uretao’s customers. Uretao reserves the right at all times to disclose any information that Uretao deems necessary to comply with any applicable law, regulation, legal process or governmental request. Uretao also may disclose your information when Uretao determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes. You acknowledge and agree that Uretao may preserve any transmittal or communication by you with Uretao through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or Uretao determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of Uretao, its employees, users of or visitors to the Site, and the public. You agree that Uretao may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Uretao, for which monetary damages would be inadequate, and you consent to Uretao obtaining any injunctive or equitable relief that Uretao deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Uretao may have at law or in equity. You agree that Uretao may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems. If Uretao does take any legal action against you as a result of your violation of these Terms of Use, Uretao will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Uretao. You agree that Uretao will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.

Governing Law; Dispute Resolution

You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the Federal Republic of Germany and by the laws of the State of Lower Saxony without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts of the Ferderal Republic of Germany, and waive any objection to such jurisdiction or venue. The preceding provision regarding venue does not apply if you are a consumer based in the European Union. If you are a consumer based in the European Union, you may make a claim in the courts of the country where you reside. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. Claims made under the separate terms and conditions of purchase for goods and services are not subject to this limitation. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees. In the event of any controversy or dispute between Uretao and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

Severability Clause

If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect. These Terms of Use constitute the entire agreement between you and Uretao with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and Uretao with respect to such use are hereby superseded and cancelled. Other than as provided in a purchase agreement you enter into with Uretao, Uretao will not accept any counter-offers to these Terms of Use, and all such offers are hereby categorically rejected.
